Terms of Use for Apple Business Register

PLEASE READ THE FOLLOWING APPLE BUSINESS REGISTER TERMS OF USE CAREFULLY BEFORE USING APPLE BUSINESS REGISTER OR APPLE SERVICES. THESE TERMS AND CONDITIONS CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND APPLE. REGISTRATION OR USE OF CERTAIN APPLE SERVICES MAY REQUIRE YOU TO AGREE TO SEPARATE SERVICE TERMS. TO THE EXTENT YOU AGREE TO SEPARATE SERVICE TERMS, SUCH SERVICE TERMS SUPERSEDE THESE APPLE BUSINESS REGISTER TERMS OF USE WITH RESPECT TO SUCH SERVICE.

Apple Business Register Terms of Use

1. Accepting these Terms of Use; Definitions

1.1 Acceptance

In order to use Apple Business Register and the Apple Services, You must accept these Terms of Use. If You do not or cannot accept these Terms of Use, You are not permitted to use Apple Business Register and the Apple Services. Do not access or use Apple Business Register and the Apple Services in that case. You accept and agree to these Terms of Use on Your own behalf and/or on behalf of Your company, organization, educational institution, agency, instrumentality, or government agency as its authorized legal representative, by doing either of the following:

(a) checking the box displayed at the end of these Terms of Use if You are reading this on an Apple website;

(b) clicking an "Agree" or similar button, where this option is provided by Apple; or

1.2 Definitions

Whenever capitalized in these Terms of Use:

"Apple" means Apple Inc., a California corporation with its principal place of business at One Apple Park Way, Cupertino, California 95014, U.S.A, and its worldwide subsidiaries and affiliates.

"Apple Business Register" means the Apple website, which contains certain Apple Services and Apple Materials, located at register.apple.com and all associated sites linked to register.apple.com by Apple.

"Apple Materials" means Apple Products, tools, data, documents, and other materials provided to You by Apple as part of Apple Business Register or the Apple Services.

"Apple Products" means any technology, software, hardware, Service, device, platform and/or product that is distributed under an Apple brand or that is otherwise provided by Apple.

"Apple Service(s)" means the features, services, integrations, products or programs that Apple may provide or make available through Apple Business Register and any updates thereto, including the tools that enable organizations to subscribe to and set up accounts and manage said items.

"Apple Website Terms of Use" means the terms of use found at www.apple.com/legal/internet-services/terms/site.html.

"Service Terms" means the terms and conditions applicable to an individual Apple Service that supplement these Terms of Use.

"Terms of Use" means these Apple Business Register Terms of Use, including any attachments any exhibits hereto which are hereby incorporated by reference.

"You" and "Your" means and refers to the person(s) or legal entity (whether the business, company, organization or educational institution, or governmental agency, instrumentality or department) that has accepted these Terms of Use under its own Apple Business Register account and that is using Apple Business Register or the Apple Services or is otherwise exercising rights under these Terms of Use or the applicable Service Terms.

"Your Content" means to the information that You provide to Apple through Apple Business Register.

2. Use of Apple Business Register

2.1 Use of Apple Business Register; Changes and Availability

As an Apple Business Register user, Apple may offer You access to certain Apple Services, which may have additional Service Terms. Such Apple Services are only for use in connection with those organizations, businesses or entities that are associated with Your Apple Business Register account. Apple may change, suspend, limit or discontinue Your use of Apple Business Register and/or an Apple Service at any time without notice or liability. Apple Business Register and/or the Apple Services may enable access to other Apple or third party services and content, which may be subject to additional terms and conditions. Apple Business Register and/or the Apple Services may not be available in all languages or in all countries and Apple makes no representation that Apple Business Register and/or any Apple Service is appropriate or available for use in any particular location. To the extent You choose to access Apple Business Register and the Apple Services, You do so at Your own initiative and agree to use Apple Business Register and the Apple Services only as permitted by these Terms of Use and any applicable law or regulation (including any local laws), or any policies or guidelines communicated to You under these Terms of Use and the Service Terms.

2.2 Access to Apple Business Register

You may only access Apple Business Register and its management features using the Apple ID associated with Your account. You understand that each individual that accesses Apple Business Register on Your behalf may be required to have his or her own Apple ID and must accept these Terms of Use and the applicable Service Terms. You are responsible for all actions that occur through use of Your Apple ID, and You agree to immediately notify Apple of any unauthorized use of Your Apple ID or other breach of security associated with Your Apple Business Register and/or Apple Services account. You may authorize your employees and contractors to access Apple Business Register and/or the Apple Services on Your behalf, but You are responsible to Apple for Your employees and contractors' activities under Your account (e.g., adding them to Your team to perform development work for You) and their compliance with these Terms of Use. Any actions undertaken by Your employees and contractors arising out of these Terms of Use shall be deemed to have been taken by You, and You (in addition to Your contractors) shall be responsible to Apple for such actions.

2.3 Content You Submit to Apple Business Register

You may be able to submit Your Content through Apple Business Register and/or the Apple Services. You hereby grant Apple a royalty-free, unrestricted, worldwide and non-exclusive license to (i) use Your Content to provide Apple Business Register and the Apple Services to You, and (ii) use Your Content, excluding any personally identifiable information of customers or patients, in conjunction with Apple Products, including any promotional materials related thereto, as well as for internal use by Apple. In no event is Apple under any obligation to use or distribute Your Content. You also agree and warrant that:

(a)You are the owner or authorized agent of the organization for which You are accessing and using the Apple Business Register or Apple Services;

(b) You have the legal authority and right to provide Your Content to Apple; and

(c)Your Content is, to the best of Your knowledge and belief, current, true, accurate and complete and You will promptly notify Apple of any changes or updates.

2.4 Ownership

Apple retains all rights, title, and interest in Apple Business Register and the Apple Services (including any updates Apple may make available to You under these Terms of Use) and all of its intellectual property rights therein, which include, without limitation, any and all trade secrets, patents, copyrights, service marks, trademarks, know-how or other intellectual property rights, as well as any and all moral rights, rights of privacy, publicity and similar rights of any type under the laws or regulations of any governmental, regulatory or judicial authority, foreign or domestic. You agree to cooperate with Apple to maintain Apple's ownership of Apple Business Register and the Apple Services, and, to the extent that You become aware of any claims relating to Apple Business Register or the Apple Services, You agree to use reasonable efforts to promptly provide notice of any such claims to Apple. These Terms of Use do not give Apple any ownership interest in Your Content.

2.5 Communications

Apple may contact and/or send communications to You from time to time in conjunction with Your use of Apple Business Register and/or the Apple Services. Such communications may be in the form of phone calls and/or emails and may include, but not be limited to, service announcements, account verification services, marketing materials and updates or changes regarding Your account. You agree that Apple may share Your Content (such as phone number and mailing address You provided during registration for Apple Business Register) with third parties working with Apple for the purposes of operating Apple Business Register and the Apple Services (e.g., business verification services).

2.6 Prohibited Uses

You may not attempt to gain unauthorized access to any portion or feature of Apple Business Register or the Apple Services, or any other systems or networks connected to Apple Business Register or to any Apple server, or to any of the Apple Services offered on or through Apple Business Register, by hacking, password "mining" or any other illegitimate means. You may not scrape, probe, scan or test the vulnerability of Apple Business Register, the Apple Services or any network connected thereto, nor breach the security or authentication measures on Apple Business Register or the Apple Services, or any networks connected thereto. You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to Apple Business Register or the Apple Services, or any other customer of Apple, including any Apple account not owned by You, to its source, or exploit Apple Business Register, the Apple Services or any other service or information made available or offered by or through Apple Business Register or the Apple Services, in any way where the purpose is to reveal any information other than Your own information or information that is provided for by Apple Business Register or the Apple Services. You agree that You will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of Apple Business Register, the Apple Services or Apple's systems or networks, or any systems or networks connected to thereto or to Apple. You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of Apple Business Register, the Apple Services or any transaction being conducted thereon, or with any other person's use of Apple Business Register or the Apple Services.

2.7 Amendment

Apple reserves the right, at its discretion, to modify these Terms of Use and/or the Service Terms at any time, including any rules or policies that govern Your use of Apple Business Register and/or the Apple Services. Any such new or modified terms will not apply to any of Your Content submitted to Apple Business Register and/or the Apple Services prior to any such modification of terms. In the event that Apple modifies these Terms of Use or the Service Terms, in order to continue using Apple Business Register and/or the Apple Services, You will be required to accept and agree to such new terms. If You do not agree, then Your use of Apple Business Register and/or the Apple Services may be suspended or terminated by Apple. You agree that Your acceptance may be signified electronically, including without limitation, by Your checking a box or clicking on an "Agree" or similar button. For the avoidance of doubt, in the event that You have entered into separate Service Terms, any amendment to these Terms of Use shall not amend such Service Terms.

3. Confidentiality

3.1 Information Deemed Apple Confidential

As part of Apple Business Register or the Apple Services, Apple may provide You with Access to pre-release Apple Products that are not generally available to the public. You agree that all pre-release versions of such Apple Products (including pre-release documentation), and other Apple Materials that disclose pre-release features, are deemed "Apple Confidential Information"; provided however that upon the commercial release of the Apple Product the terms and conditions that disclose pre-release features will no longer be confidential. Notwithstanding the foregoing, Apple Confidential Information will not include:

(a) information that is generally and legitimately available to the public through no fault or breach of Yours;

(b) information that is generally made available to the public by Apple;

(d) information that was rightfully obtained from a third party who had the right to transfer or disclose it to You without limitation.

3.2 Obligations Regarding Apple Confidential Information

You agree to protect Apple Confidential Information and to use Apple Confidential Information solely for the purpose of exercising Your rights and performing Your obligations under these Terms of Use and/or the Service Terms. You further agree not to disclose or disseminate Apple Confidential Information to anyone other than those of Your employees and contractors, or those of Your faculty and staff if You are an educational institution, unless otherwise agreed or permitted in writing by Apple. You may disclose Apple Confidential Information to the extent required by law, provided that You take reasonable steps to notify Apple of such requirement before disclosing the Apple Confidential Information and to obtain protective treatment of the Apple Confidential Information. You acknowledge that damages for improper disclosure of Apple Confidential Information may be irreparable; therefore, Apple is entitled to seek equitable relief, including injunction and preliminary injunction, in addition to all other remedies.

4. Termination

You may choose to terminate Your Apple Business Register or Apple Services account, and/or cease using Apple Business Register or the Apple Services, at any time and for any reason. Apple may terminate or suspend Your Apple Business Register and/or Apple Services account at any time in Apple's sole discretion. Upon any termination of Your accounts, all rights and licenses granted to You by Apple will cease, including Your right to access and use Apple Business Register and/or the Apple Services. For avoidance of doubt, the licenses granted to Apple in Your Content pursuant to Section 2 above, will survive any termination of these Terms of Use.

5. NO WARRANTY

YOU EXPRESSLY UNDERSTAND AND AGREE THAT APPLE BUSINESS REGISTER AND THE APPLE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND THAT YOUR USE OF APPLE BUSINESS REGISTER AND THE APPLE SERVICES IS AT YOUR OWN DISCRETION AND SOLE RISK. EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OF USE OR THE SERVICE TERMS, APPLE AND ITS AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS (COLLECTIVELY, "APPLE" FOR PURPOSES OF SECTION 5 AND SECTION 6) EXPRESSLY DISCLAIM ALL WARRANTIES, CONDITIONS, REPRESENTATIONS AND TERMS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IN PARTICULAR, APPLE MAKES NO WARRANTY THAT (I) APPLE BUSINESS REGISTER AND/OR THE APPLE SERVICES WILL MEET YOUR REQUIREMENTS; (II) YOUR USE OF APPLE BUSINESS REGISTER AND/OR THE APPLE SERVICES WILL BE TIMELY, UNINTERRUPTED, SECURE OR ERROR-FREE; (III) ANY INFORMATION OBTAINED BY YOU AS A RESULT OF APPLE BUSINESS REGISTER AND/OR THE APPLE SERVICES WILL BE ACCURATE OR RELIABLE; OR (IV) ANY DEFECTS OR ERRORS IN APPLE BUSINESS REGISTER WILL BE CORRECTED. IN ADDITION, APPLE DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO YOUR USE OF APPLE BUSINESS REGISTER AND/OR THE APPLE SERVICES. YOUR SOLE REMEDY AGAINST APPLE FOR DISSATISFACTION WITH APPLE BUSINESS REGISTER AND/OR THE APPLE SERVICES IS TO STOP USING APPLE BUSINESS REGISTER AND/OR THE APPLE SERVICES. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.

6. LIMITATION OF LIABILITY

TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW,IN NO EVENT WILL APPLE BE LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, CONSEQUENTIAL, PUNITIVE, SPECIAL OR INDIRECT DAMAGES, OR FOR LOST PROFITS OR ANTICIPATED PROFITS, LOST INCOME OR REVENUE, LOSS OF USE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, COST OF SUBSTITUTE GOODS OR BUSINESS INTERRUPTION, WHETHER OR NOT APPLE WAS AWARE OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF THESE DAMAGES. In no event shall Apple's total liability to You under these Terms of Use and/or Service Terms for all damages (other than as may be required by applicable law in cases involving personal injury) whether arising in contract, tort (including negligence) or otherwise, exceed the amount of fifty dollars ($50.00).

7. Indemnity

Upon Apple's request, You agree to indemnify and hold harmless Apple, its affiliates, officers, employees and agents from any demands, losses, liability, damages, claims, suits, costs or expenses (including attorneys' fees and taxes) arising out of or related to Your violation of these Terms of Use or Your unauthorized use of Apple Business Register or the Apple Services.

8. General Legal Terms

8.1 Proprietary Rights

You acknowledge and agree that Apple Business Register and the Apple Services contain proprietary information and materials that are owned by Apple and/or its licensors and are protected by applicable intellectual property and other laws, including but not limited to copyright. You agree You will not use such proprietary information or materials in any way whatsoever that is inconsistent with these Terms of Use or the Service Terms, or that infringes any intellectual property rights of Apple or any third party. No portion of Apple Business Register or the Apple Services, including any content therein, may be reproduced in whole or in part without Apple's permission, and You may be held liable for any such unauthorized copying or disclosure. Apple, the Apple logo and other Apple trademarks, service marks, graphics and logos used in connection with Apple Business Register and the Apple Services are trademarks or registered trademarks of Apple Inc. in the US and/or other countries. Other trademarks or logos used in connection with Apple Business Register and the Apple Services may be the trademarks of their respective owners. You are not granted any right or license in any of the foregoing trademarks, and further agree that You shall not remove, obscure or alter any proprietary notices (including trademark and copyright notices) that may be contained within Apple Business Register or the Apple Services.

8.2 Privacy

At all times any personal information collected hereunder will be treated in accordance with Apple's Privacy Policy which can be viewed at www.apple.com/legal/privacy. Notwithstanding, we may disclose personal information about Your Apple Business Register or Apple Services account(s) in accordance with these Terms of Use and the Service Terms, including to third parties to verify Your Content, Your authority, Your association with the applicable organization or Your right to participate in Apple Business Register or the Apple Services. You agree that You will not use Apple Business Register or the Apple Services to solicit or obtain information that may be considered sensitive or subject to legal restrictions under applicable law, unless otherwise permitted under these Terms of Use or the Service Terms. You agree to have a publicly posted privacy policy that is accessible to users outlining the handling of information You may collect through the Apple Services and You agree to abide by Your privacy policy.

8.3 Export Control

Use of Apple Business Register and the Apple Services may be subject to the export and import laws of the United States and other countries. You agree to comply with all applicable export and import laws and regulations. In particular, but without limitation, the Apple Materials may not be exported or re-exported (i) into any U.S. embargoed countries, or (ii) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person's List or Entity List. By using Apple Business Register and/or the Apple Services, You represent and warrant that You are not located in any such country or on any such list. You also agree that You will not use Apple Business Register and/or the Apple Services for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture or production of missiles, nuclear, chemical or biological weapons.

8.4 Governing Law

You expressly agree that the laws of the State of California, excluding its conflicts of law rules, govern these Terms of Service and the Service Terms and Your use of Apple Business Register and the Apple Services, and that the exclusive jurisdiction for any proceeding relating in any way to Your use of Apple Business Register will be the Northern District of California. You hereby waive the right to object to the foregoing choice of law, personal jurisdiction or venue.

8.5 Government End Users

Certain components of Apple Business Register or the Apple Services may be considered "Commercial Items", as that term is defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation", as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government users (a) only as Commercial Items and (b) with only those rights as are granted to all other users pursuant to the terms and conditions herein. Unpublished-rights are reserved under the copyright laws of the United States.

8.6 Miscellaneous

You understand and agree that by becoming an Apple Business Register and Apple Services user no legal partnership or agency relationship is created between You and Apple. Neither You nor Apple is a partner, an agent or has any authority to bind the other, and You agree not to represent otherwise. If for any reason a court of competent jurisdiction finds any provision of these Terms of Use or the applicable Service Terms to be unenforceable, the remainder of these Terms of Use and/or Service Terms shall continue in full force and effect. Failure by Apple to enforce any provision of these Terms of Use or the Service Terms shall not be deemed a waiver of future enforcement of that or any other provision. Any offer for any Apple Product or feature made on Apple Business Register and/or the Apple Services is void where prohibited. Any notices relating to these Terms of Use or the Service Terms shall be in writing. Notices will be deemed given by Apple when sent to You at the email address or mailing address You provided as part of Your registration process. All notices to Apple relating to these Terms of Use or the Service Terms will be deemed given (i) when delivered personally, (ii) three business days after having been sent by commercial overnight carrier with written proof of delivery, and (iii) five business days after having been sent by first class or certified mail, postage prepaid, to this Apple address: Apple Inc., One Apple Park Way, Cupertino, CA 95014, U.S.A, Attention: Internet Services Legal. You consent to receive notices by email and agree that any such notices that Apple sends You electronically will satisfy any legal communication requirements. Unless otherwise agreed in writing between You and Apple, These Terms of Use and any applicable Service Terms constitute the entire agreement between the parties with respect to the use of Apple Business Register and the Apple Services and supersede all prior understandings and agreements regarding its subject matter. Any translation of these Terms of Use is done for local requirements and in the event of a dispute between the English and any non-English version, the English version of these Terms of Use shall govern.
