THESE TERMS AND CONDITIONS CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND APPLE. Registration or use of certain Apple Services may require you to agree to separate Service Terms. Apple Business Register Terms of Use

1. Accepting these Terms of Use; Definitions

1.1 Acceptance

In order to use Apple Business Register and the Apple Services, You must accept these Terms of Use. If You do not or cannot accept these Terms of Use, You are not permitted to use Apple Business Register and the Apple Services. Do not access or use Apple Business Register and the Apple Services in that case. You accept and agree to these Terms of Use on Your own behalf and/or on behalf of Your company, organization, educational institution, agency, instrumentality, or government agency as its authorized legal representative, by doing either of the following:

(a) checking the box displayed at the end of these Terms of Use if You are reading this on an Apple website;

(b) clicking an "Agree" or similar button, where this option is provided by Apple; or

(c) by using or accessing Apple Business Register and the Apple Services.

1.2 Definitions

Whenever capitalized in these Terms of Use:

"Apple" means Apple Inc., a California corporation with its principal place of business at One Apple Park Way, Cupertino, California 95014, U.S.A, and its worldwide subsidiaries and affiliates.

"Apple Business Register" means the Apple website, which contains certain Apple Services and Apple Materials, located at register.apple.com and all associated sites linked to register.apple.com by Apple.

"Apple Materials" means Apple Products, tools, data, documents, and other materials provided to You by Apple as part of Apple Business Register or the Apple Services.

"Apple Products" means any technology, software, hardware, Service, device, platform and/or product that is distributed under an Apple brand or that is otherwise provided by Apple.

"Apple Service(s)" means the features, services, integrations, products or programs that Apple may provide or make available through Apple Business Register and any updates thereto, including the tools that enable organizations to subscribe to and set up accounts and manage said items.

"Apple Website Terms of Use" means the terms of use found at www.apple.com/legal/internet-services/terms/site.html.

"Service Terms" means the terms and conditions applicable to an individual Apple Service that supplement these Terms of Use.

"Terms of Use" means these Apple Business Register Terms of Use, including any attachments any exhibits hereto which are hereby incorporated by reference.

"You" and "Your" means and refers to the person(s) or legal entity (whether the business, company, organization or educational institution, or governmental agency, instrumentality or department) that has accepted these Terms of Use under its own Apple Business Register account and that is using Apple Business Register or the Apple Services or is otherwise exercising rights under these Terms of Use or the applicable Service Terms.

"Your Content" means to the information that You provide to Apple through Apple Business Register.

2. Use of Apple Business Register

2.1 Use of Apple Business Register; Changes and Availability

As an Apple Business Register user, Apple may offer You access to certain Apple Services, which may have additional Service Terms. Such Apple Services are only for use in connection with those organizations, businesses or entities that are associated with Your Apple Business Register account. Apple may change, suspend, limit or discontinue Your use of Apple Business Register and/or an Apple Service at any time without notice or liability. Apple Business Register and/or the Apple Services may enable access to other Apple or third party services and content, which may be subject to additional terms and conditions. Apple Business Register and/or the Apple Services may not be available in all languages or in all countries and Apple makes no representation that Apple Business Register and/or any Apple Service is appropriate or available for use in any particular location. To the extent You choose to access Apple Business Register and the Apple Services, You do so at Your own initiative and agree to use Apple Business Register and the Apple Services only as permitted by these Terms of Use and any applicable law or regulation (including any local laws), or any policies or guidelines communicated to You under these Terms of Use and the Service Terms.

2.2 Access to Apple Business Register

You may only access Apple Business Register and its management features using the Apple ID associated with Your account. You understand that each individual that accesses Apple Business Register on Your behalf may be required to have his or her own Apple ID and must accept these Terms of Use and the applicable Service Terms. You are responsible for all actions that occur through use of Your Apple ID, and You agree to immediately notify Apple of any unauthorized use of Your Apple ID or other breach of security associated with Your Apple Business Register and/or Apple Services account. You may authorize your employees and contractors to access Apple Business Register and/or the Apple Services on Your behalf, but You are responsible to Apple for Your employees and contractors' activities under Your account (e.g., adding them to Your team to perform development work for You) and their compliance with these Terms of Use. Any actions undertaken by Your employees and contractors arising out of these Terms of Use shall be deemed to have been taken by You, and You (in addition to Your contractors) shall be responsible to Apple for such actions.

2.3 Content You Submit to Apple Business Register

You may be able to submit Your Content through Apple Business Register and/or the Apple Services. You hereby grant Apple a royalty-free, unrestricted, worldwide and non-exclusive license to (i) use Your Content to provide Apple Business Register and the Apple Services to You, and (ii) use Your Content, excluding any personally identifiable information of customers or patients, in conjunction with Apple Products, including any promotional materials related thereto, as well as for internal use by Apple. In no event is Apple under any obligation to use or distribute Your Content. You also agree and warrant that:

(a) You are the owner or authorized agent of the organization for which You are accessing and using the Apple Business Register or Apple Services;

(b) You have the legal authority and right to provide Your Content to Apple; and

(c) Your Content is, to the best of Your knowledge and belief, current, true, accurate and complete and You will promptly notify Apple of any changes or updates.

2.4 Ownership

Apple retains all rights, title, and interest in Apple Business Register and the Apple Services (including any updates Apple may make available to You under these Terms of Use) and all of its intellectual property rights therein, which include, without limitation, any and all trade secrets, patents, copyrights, service marks, trademarks, know-how or other intellectual property rights, as well as any and all moral rights, rights of privacy, publicity and similar rights of any type under the laws or regulations of any governmental, regulatory or judicial authority, foreign or domestic. You agree to cooperate with Apple to maintain Apple's ownership of Apple Business Register and the Apple Services, and, to the extent that You become aware of any claims relating to Apple Business Register or the Apple Services, You agree to use reasonable efforts to promptly provide notice of any such claims to Apple. These Terms of Use do not give Apple any ownership interest in Your Content.


2.5 Communications

Apple may contact and/or send communications to You from time to time in conjunction with Your use of Apple Business Register and/or the Apple Services. Such communications may be in the form of phone calls and/or emails and may include, but not be limited to, service announcements, account verification services, marketing materials and updates or changes regarding Your account. You agree that Apple may share Your Content (such as phone number and mailing address You provided during registration for Apple Business Register) with third parties working with Apple for the purposes of operating Apple Business Register and the Apple Services (e.g., business verification services).

2.6 Prohibited Uses

You may not attempt to gain unauthorized access to any portion or feature of Apple Business Register or the Apple Services, or any other systems or networks connected to Apple Business Register or to any Apple server, or to any of the Apple Services offered on or through Apple Business Register, by hacking, password "mining" or any other illegitimate means. You may not scrape, probe, scan or test the vulnerability of Apple Business Register, the Apple Services or any network connected thereto, nor breach the security or authentication measures on Apple Business Register or the Apple Services, or any networks connected thereto. You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to Apple Business Register or the Apple Services, or any other customer of Apple, including any Apple account not owned by You, to its source, or exploit Apple Business Register, the Apple Services or any other service or information made available or offered by or through Apple Business Register or the Apple Services, in any way where the purpose is to reveal any information other than Your own information or information that is provided for by Apple Business Register or the Apple Services. You agree that You will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of Apple Business Register, the Apple Services or Apple's systems or networks, or any systems or networks connected to thereto or to Apple. You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of Apple Business Register, the Apple Services or any transaction being conducted thereon, or with any other person's use of Apple Business Register or the Apple Services.

2.7 Amendment

Apple reserves the right, at its discretion, to modify these Terms of Use and/or the Service Terms at any time, including any rules or policies that govern Your use of Apple Business Register and/or the Apple Services. Any such new or modified terms will not apply to any of Your Content submitted to Apple Business Register and/or the Apple Services prior to any such modification of terms. In the event that Apple modifies these Terms of Use or the Service Terms, in order to continue using Apple Business Register and/or the Apple Services, You will be required to accept and agree to such new terms. If You do not agree, then Your use of Apple Business Register and/or the Apple Services may be suspended or terminated by Apple. You agree that Your acceptance may be signified electronically, including without limitation, by Your checking a box or clicking on an "Agree" or similar button. For the avoidance of doubt, in the event that You have entered into separate Service Terms, any amendment to these Terms of Use shall not amend such Service Terms.

3. Confidentiality

3.1 Information Deemed Apple Confidential

As part of Apple Business Register or the Apple Services, Apple may provide You with Access to pre-release Apple Products that are not generally available to the public. You agree that all pre-release versions of such Apple Products (including pre-release documentation), and other Apple Materials that disclose pre-release features, are deemed "Apple Confidential Information"; provided however that upon the commercial release of the Apple Product the terms and conditions that disclose pre-release features will no longer be confidential. Notwithstanding the foregoing, Apple Confidential Information will not include:

(a) information that is generally and legitimately available to the public through no fault or breach of Yours;

(b) information that is generally made available to the public by Apple;

(c) information that is independently developed by You without the use of any Apple Confidential Information; or

(d) information that was rightfully obtained from a third party who had the right to transfer or disclose it to You without limitation.

3.2 Obligations Regarding Apple Confidential Information

You agree to protect Apple Confidential Information and to use Apple Confidential Information solely for the purpose of exercising Your rights and performing Your obligations under these Terms of Use and/or the Service Terms. You further agree not to disclose or disseminate Apple Confidential Information to anyone other than those of Your employees and contractors, or those of Your faculty and staff if You are an educational institution, unless otherwise agreed or permitted in writing by Apple. You may disclose Apple Confidential Information to the extent required by law, provided that You take reasonable steps to notify Apple of such requirement before disclosing the Apple Confidential Information and to obtain protective treatment of the Apple Confidential Information. You acknowledge that damages for improper disclosure of Apple Confidential Information may be irreparable; therefore, Apple is entitled to seek equitable relief, including injunction and preliminary injunction, in addition to all other remedies.


4. Termination

You may choose to terminate Your Apple Business Register or Apple Services account, and/or cease using Apple Business Register or the Apple Services, at any time and for any reason. Apple may terminate or suspend Your Apple Business Register and/or Apple Services account at any time in Apple's sole discretion. Upon any termination of Your accounts, all rights and licenses granted to You by Apple will cease, including Your right to access and use Apple Business Register and/or the Apple Services. For avoidance of doubt, the licenses granted to Apple in Your Content pursuant to Section 2 above, will survive any termination of these Terms of Use.


5. NO WARRANTY

YOU EXPRESSLY UNDERSTAND AND AGREE THAT APPLE BUSINESS REGISTER AND THE APPLE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND THAT YOUR USE OF APPLE BUSINESS REGISTER AND THE APPLE SERVICES IS AT YOUR OWN DISCRETION AND SOLE RISK. EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OF USE OR THE SERVICE TERMS, APPLE AND ITS AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS (COLLECTIVELY, "APPLE" FOR PURPOSES OF SECTION 5 AND SECTION 6) EXPRESSLY DISCLAIM ALL WARRANTIES, CONDITIONS, REPRESENTATIONS AND TERMS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IN PARTICULAR, APPLE MAKES NO WARRANTY THAT (I) APPLE BUSINESS REGISTER AND/OR THE APPLE SERVICES WILL MEET YOUR REQUIREMENTS; (II) YOUR USE OF APPLE BUSINESS REGISTER AND/OR THE APPLE SERVICES WILL BE TIMELY, UNINTERRUPTED, SECURE OR ERROR-FREE; (III) ANY INFORMATION OBTAINED BY YOU AS A RESULT OF APPLE BUSINESS REGISTER AND/OR THE APPLE SERVICES WILL BE ACCURATE OR RELIABLE; OR (IV) ANY DEFECTS OR ERRORS IN APPLE BUSINESS REGISTER WILL BE CORRECTED. IN ADDITION, APPLE DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO YOUR USE OF APPLE BUSINESS REGISTER AND/OR THE APPLE SERVICES. YOUR SOLE REMEDY AGAINST APPLE FOR DISSATISFACTION WITH APPLE BUSINESS REGISTER AND/OR THE APPLE SERVICES IS TO STOP USING APPLE BUSINESS REGISTER AND/OR THE APPLE SERVICES. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.


6. LIMITATION OF LIABILITY

TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT WILL APPLE BE LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, CONSEQUENTIAL, PUNITIVE, SPECIAL OR INDIRECT DAMAGES, OR FOR LOST PROFITS OR ANTICIPATED PROFITS, LOST INCOME OR REVENUE, LOSS OF USE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, COST OF SUBSTITUTE GOODS OR BUSINESS INTERRUPTION, WHETHER OR NOT APPLE WAS AWARE OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF THESE DAMAGES. In no event shall Apple's total liability to You under these Terms of Use and/or Service Terms for all damages (other than as may be required by applicable law in cases involving personal injury) whether arising in contract, tort (including negligence) or otherwise, exceed the amount of fifty dollars ($50.00).

7. Indemnity

Upon Apple's request, You agree to indemnify and hold harmless Apple, its affiliates, officers, employees and agents from any demands, losses, liability, damages, claims, suits, costs or expenses (including attorneys' fees and taxes) arising out of or related to Your violation of these Terms of Use or Your unauthorized use of Apple Business Register or the Apple Services.

8. General Legal Terms

8.1 Proprietary Rights

You acknowledge and agree that Apple Business Register and the Apple Services contain proprietary information and materials that are owned by Apple and/or its licensors and are protected by applicable intellectual property and other laws, including but not limited to copyright. You agree You will not use such proprietary information or materials in any way whatsoever that is inconsistent with these Terms of Use or the Service Terms, or that infringes any intellectual property rights of Apple or any third party. No portion of Apple Business Register or the Apple Services, including any content therein, may be reproduced in whole or in part without Apple's permission, and You may be held liable for any such unauthorized copying or disclosure. Apple, the Apple logo and other Apple trademarks, service marks, graphics and logos used in connection with Apple Business Register and the Apple Services are trademarks or registered trademarks of Apple Inc. in the US and/or other countries. Other trademarks or logos used in connection with Apple Business Register and the Apple Services may be the trademarks of their respective owners. You are not granted any right or license in any of the foregoing trademarks, and further agree that You shall not remove, obscure or alter any proprietary notices (including trademark and copyright notices) that may be contained within Apple Business Register or the Apple Services.


8.2 Privacy

At all times any personal information collected hereunder will be treated in accordance with Apple's Privacy Policy which can be viewed at www.apple.com/legal/privacy. Notwithstanding, we may disclose personal information about Your Apple Business Register or Apple Services account(s) in accordance with these Terms of Use and the Service Terms, including to third parties to verify Your Content, Your authority, Your association with the applicable organization or Your right to participate in Apple Business Register or the Apple Services. You agree that You will not use Apple Business Register or the Apple Services to solicit or obtain information that may be considered sensitive or subject to legal restrictions under applicable law, unless otherwise permitted under these Terms of Use or the Service Terms. You agree to have a publicly posted privacy policy that is accessible to users outlining the handling of information You may collect through the Apple Services and You agree to abide by Your privacy policy.


8.3 Export Control

Use of Apple Business Register and the Apple Services may be subject to the export and import laws of the United States and other countries. You agree to comply with all applicable export and import laws and regulations. In particular, but without limitation, the Apple Materials may not be exported or re-exported (i) into any U.S. embargoed countries, or (ii) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person's List or Entity List. By using Apple Business Register and/or the Apple Services, You represent and warrant that You are not located in any such country or on any such list. You also agree that You will not use Apple Business Register and/or the Apple Services for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture or production of missiles, nuclear, chemical or biological weapons.


8.4 Governing Law

You expressly agree that the laws of the State of California, excluding its conflicts of law rules, govern these Terms of Service and the Service Terms and Your use of Apple Business Register and the Apple Services, and that the exclusive jurisdiction for any proceeding relating in any way to Your use of Apple Business Register will be the Northern District of California. You hereby waive the right to object to the foregoing choice of law, personal jurisdiction or venue.


8.5 Government End Users

Certain components of Apple Business Register or the Apple Services may be considered "Commercial Items", as that term is defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation", as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government users (a) only as Commercial Items and (b) with only those rights as are granted to all other users pursuant to the terms and conditions herein. Unpublished-rights are reserved under the copyright laws of the United States.

8.6 Miscellaneous

You understand and agree that by becoming an Apple Business Register and Apple Services user no legal partnership or agency relationship is created between You and Apple. Neither You nor Apple is a partner, an agent or has any authority to bind the other, and You agree not to represent otherwise. If for any reason a court of competent jurisdiction finds any provision of these Terms of Use or the applicable Service Terms to be unenforceable, the remainder of these Terms of Use and/or Service Terms shall continue in full force and effect. Failure by Apple to enforce any provision of these Terms of Use or the Service Terms shall not be deemed a waiver of future enforcement of that or any other provision. Any offer for any Apple Product or feature made on Apple Business Register and/or the Apple Services is void where prohibited. Any notices relating to these Terms of Use or the Service Terms shall be in writing. Notices will be deemed given by Apple when sent to You at the email address or mailing address You provided as part of Your registration process. All notices to Apple relating to these Terms of Use or the Service Terms will be deemed given (i) when delivered personally, (ii) three business days after having been sent by commercial overnight carrier with written proof of delivery, and (iii) five business days after having been sent by first class or certified mail, postage prepaid, to this Apple address: Apple Inc., One Apple Park Way, Cupertino, CA 95014, U.S.A, Attention: Internet Services Legal. You consent to receive notices by email and agree that any such notices that Apple sends You electronically will satisfy any legal communication requirements. Unless otherwise agreed in writing between You and Apple, These Terms of Use and any applicable Service Terms constitute the entire agreement between the parties with respect to the use of Apple Business Register and the Apple Services and supersede all prior understandings and agreements regarding its subject matter. Any translation of these Terms of Use is done for local requirements and in the event of a dispute between the English and any non-English version, the English version of these Terms of Use shall govern. If You are located in the province of Quebec, Canada, then the following clause applies to You: The parties hereby confirm that they have requested that these Terms of Use and all related documents be drafted in English. Service Terms for Business Chat Beta

The following Service Terms are in addition to the Terms of Use and apply to any use of the beta version of Apple's Business Chat service, or BCS. In the event of a conflict between these Service Terms and the Terms of Use, these Service Terms shall control.

1. Definitions

In addition to the definitions found in the Terms of Use, the following definitions apply whenever capitalized in these Service Terms:

"Authorized Developers" means Your employees, contractors or authorized representatives of Your business who (i) each have an active and valid Apple ID, (ii) have a demonstrable need to know or use the BCS Materials in order to develop and test Your BCS Application and (iii) to the extent such individuals will have access to Apple Confidential Information, each have binding agreements with You to protect the unauthorized use and disclosure of such Apple Confidential Information.

"Business Chat" or "BCS" means the services, Program or BCS Materials that Apple may provide or make available through Apple's Business Chat beta service, a BCS account or a CSP account, including any Updates (if any) that may be provided to You by Apple.


"Business Chat API(s) " or "BCS API(s)" means the application programming interface(s) documented by Apple in the Documentation and which are contained in the Apple Products.

"Business Chat Application" or " BCS Application" means one or more software programs (including extensions, media and libraries that are enclosed in a single software bundle) developed by You in compliance with the Documentation, Guidelines and the Service Requirements under Your own trademark or brand and for specific use with the Apple messaging app service currently branded as Messages, including bug fixes, updates, upgrades, modifications, enhancements, supplements to, revisions, new releases and new versions, regardless of the branding.

"Business Chat ID" or "BCS ID" means the BCS identifier assigned to each of your BCS or CSP accounts that enables access to and use of BCS.

"Business Chat Materials" or " BCS Materials" means the Documentation, BCS Software, tools, certificates, data, and other materials provided to You by Apple through BCS.

"Business Chat Message" or "BCS Message" means a message that is received or sent by You using BCS.

"Business Chat Software" or "BCS Software" means any software, tools, or BCS APIs that Apple provides to You to implement BCS in Your business, including any Updates thereto (if any) that may be provided to You by Apple from time to time.

"Customer Service Platform" or "CSP" means a system that facilitates the exchange of BCS Messages or that enables the use of a BCS Application.

"Documentation" means any technical or other specifications or documentation that Apple may provide to You for use in connection with BCS.

"Guidelines" means the BCS usage guidelines set forth herein and at developer.apple.com/business-chat, and/or the other guidelines published at register.apple.com as well as the Business Chat CSP & Brand Media Guidelines and the Conversation Design Guidelines.

"Program" means the overall Apple development, testing, digital signing and distribution program contemplated in these Service Terms.

"Service Requirements" mean the technical, human interface, design, product category, security, performance and other criteria and requirements specified by Apple, including but not limited to the current set of requirements set forth at register.apple.com and developer.apple.com/business-chat/, as they may be modified from time to time by Apple in accordance with the Terms of Use and/or these Service Terms.

"Updates" means bug fixes, updates, upgrades, modifications, enhancements, supplements, and new releases or versions of any part of BCS.


2. Use of Business Chat and Integration

2.1 Use of Business Chat

You are permitted to participate in the Program and use BCS only as expressly permitted in the Terms of Use and the Service Terms, in accordance with the Service Requirements, Guidelines and all applicable laws and regulations (including all intellectual property laws). You may access BCS only via the BCS APIs and only if You have been assigned a BCS ID by Apple. CSPs must be approved by Apple and may not promote their BSC-related services until approved. You understand that You will not be permitted to access or use BCS after any expiration or termination of these Service Terms. Further, BCS may not be made available to all users of Apple Business Register. Apple reserves the right to not provide (or to cease providing) BCS to any or all users at any time in its sole discretion.


2.2 Integration and CSP Access

You may choose to integrate directly with BCS itself, or select an approved CSP (i.e., a CSP that is authorized by Apple to provide access or services related to BCS) to integrate with BCS on Your behalf, including administering Your business's account and profile. You understand and agree that Apple and Your CSP may share Your information with each other to enable Your CSP to provide services for You under the Program. You are responsible for your relationship with Your CSP. Any actions undertaken by a CSP on Your behalf in relation to providing or administering BCS, sending or receiving BCS Messages or other activities under these Service Terms shall be deemed to have been taken by You as well as by the CSP, and You, in addition to the CSP, shall be responsible to Apple for all such actions or inactions. In the event of any actions or inactions by the CSP that would constitute a violation of these Service Terms or otherwise cause any harm, Apple reserves the right to require You to cease using any such CSP. You acknowledge and agree that Apple will have no responsibility or liability for the actions or inactions of any registered CSP that You may elect to work with in connection with BCS, and Apple will not be a party to any agreement between You and any such CSP.


2.3 Messages

You understand and agree that Your implementation of BCS may require access to iMessage Apps found at developer.apple.com, which is subject to the terms of use of iMessage Apps or the Apple Messages App. You understand and agree that BCS Messages You send using BCS must be sent from Your assigned BCS ID and you will ensure that Your BCS Messages are sent under Your own name, trademark or brand (i.e., a user should know that the communication is coming from Your business), unless You are acting as a registered CSP with respect to such BCS Messages, in which case the BCS Messages must be sent using the BCS ID of the business for whom You are acting as a CSP, along with any other identifiers required in the Documentation. You agree not to misrepresent or impersonate another business or entity or otherwise mislead BCS users about the origin or originator of the BCS Message. You further agree not to disable, override or otherwise interfere with any Apple-implemented notices, consent panels or any Apple system preferences used to administer and/or provide BCS functionality.

2.4 In-App Purchase API

You understand and agree that use of the In-App Purchase API in BCS is subject to the terms and conditions of the Apple Developer Program License Agreement.

2.5 Apple Pay

You understand and agree that integration of Apple Pay and any Apple Pay transactions within BCS is subject to the applicable Apple Pay terms and conditions on the developer.apple.com/apple-pay website, or other such terms and conditions that are applicable to You.

2.6 Availability

You understand and agree that in order to provide BCS and transmit BCS Messages, Apple may transmit across various public networks, in various media, and modify or change the format of BCS Messages to comply with the technical and other requirements for connecting to networks or Apple's Messages App on Apple devices. You acknowledge and agree that BCS is not, and is not intended to be, a guaranteed or secure delivery service, and You shall not use or rely upon it as such. You agree to handle any information You receive through BCS from users. Further, as a condition to using BCS, You are solely responsible for any permitted collection, transmission, maintenance, processing or use of sensitive, personal or confidential information belonging to an individual (e.g., Apple ID, a social security number, financial account or transactional information or any information where the individual may have a reasonable expectation of secure transmission) as part of any BCS Message, and You agree to comply with all applicable local government regulations and laws, notice or consent requirements with respect to any collection, transmission, maintenance, processing or use of a user's personal information. Apple may provide Updates from time to time but is not required to provide Updates under these Service Terms.


3. Business Chat Software

3.1 Internal Use License

Apple may provide access to BCS Software by or through the Program for You to use with BCS. You agree to access such BCS Software only through the Program web portal (which is accessed through Apple Business register) or through Apple-branded web sites that support the Program. You agree not to create or attempt to create a substitute or similar service through use of or access to the Program.

Your use of certain BCS Software may require additional license terms. If additional license terms are not presented to You, subject to the terms contained herein, Apple hereby grants You a limited, non-exclusive, personal, revocable, non-sublicensable and non-transferable license to:

(a) install a reasonable number of copies of the BCS Software provided to You under the Program to be used internally by You, Your CSP or Your Authorized Developers for the sole purpose of developing or testing Your BCS Application; and

(b) make and distribute a reasonable number of copies of the Documentation to Your CSP or Authorized Developers for their internal use only for the sole purpose of developing or testing Your BCS Application, except as otherwise expressly permitted in these Service Terms.


3.2 Copies

You agree to retain and reproduce in full the Apple copyright, disclaimers and other proprietary notices as they appear in all copies of the BCS Software that You are permitted to make under these Service Terms.

3.3 No Other Permitted Uses

Except as otherwise set forth in herein, You agree not to rent, lease, lend, upload to or host on any website or server, or sell, redistribute, or sublicense BCS or the BCS Software, in whole or in part, or to enable others to do so. You may not use BCS, the BCS Software or any other services provided hereunder for any purpose not expressly permitted by these Service Terms, including any applicable Service Requirements and Guidelines. You may not and You agree not to, or to enable others to, copy (except as expressly permitted under these Service Terms), decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, decrypt, or create derivative works of the BCS Software, or any part thereof (except as and only to the extent any foregoing restriction is prohibited by applicable law or to the extent as may be permitted by licensing terms governing use of open-sourced components or sample code included with the BCS Software). You agree not to exploit any BCS Software provided hereunder in any unauthorized way whatsoever, including but not limited to, by trespass or burdening network capacity, or by harvesting or misusing data provided by such BCS Software. Any attempt to do so is a violation of the rights of Apple and its licensors of the BCS Software. If You breach any of the foregoing restrictions, You may be subject to prosecution and damages. All licenses not expressly granted herein are reserved and no other licenses, immunity or rights, express or implied are granted by Apple, by implication, estoppel or otherwise. These Service Terms do not grant You any rights to use any trademarks, logos or service marks belonging to Apple, including but not limited to Apple, Apple Pay, Apple's iMessage, iPhone, iPad, iOS, Watch, watchOS, Mac, iMac and macOS word marks. If You make reference to any Apple Products or use Apple's trademarks, You agree to comply with the published guidelines at www.apple.com/legal/trademark/guidelinesfor3rdparties.html, as they may be modified by Apple from time to time


4. Your Acknowledgements

4.1 Modifications to Business Chat

You acknowledge and agree that Apple may at any time, and from time to time, with or without prior notice:

(a) modify BCS, including changing or removing any feature or functionality;

(b) modify, deprecate, reissue or republish BCS or the BCS Materials; or

(c) make changes to these Service Terms, the Service Requirements and/or the Guidelines, as communicated to You through Apple Business Register, email or other written means.

You understand that any such modifications may require You to change or update Your BCS Application, systems or services used to implement and provide BCS at Your own cost. Apple has no express or implied obligation to provide, or continue to provide, BCS and may suspend or discontinue all or any portion of BCS at any time. Apple shall not be liable for any losses, damages or costs of any kind incurred by You or any other party arising out of or related to any such service suspension or discontinuation or any such modification of BCS or the BCS Materials.


4.2 Responsibility

Apple provides BCS to You for Your use as a registered business and/or CSP to receive or send messages to users and does not provide BCS directly to any Apple Messages app user. You acknowledge and agree that messages are deemed to be sent by You, not Apple, to the Apple Messages app user and You are solely liable and responsible for any data or content transmitted therein and for any such use of BCS.

4.3 Availability

Apple makes no guarantees in relation to the availability or uptime of BCS and is not obligated to provide any maintenance, technical support or other support for BCS. Apple reserves the right to remove Your access to BCS, limit Your use of BCS or revoke Your BCS ID at any time in its sole discretion without any liability, obligation to provide notice or an opportunity to cure any deficiency. You understand there may be storage capacity, transmission and/or transactional limits that govern use of BCS. If You or Your Apple Messages app user reaches such limits, then You or Your Apple Messages app user may be unable to use BCS or may be unable to access or retrieve data from BCS. The Service is not available in all countries and Apple makes no representation that it will be available for use in any particular location. To the extent You choose to access and use BCS, You do so at Your own initiative and are responsible for compliance with any applicable laws, including but not limited to local laws.

4.4 Fees Charged by You

You agree not to charge any fees solely for access to or use of BCS. Further, You agree not to create or attempt to create a substitute or similar service to BCS through use of or access to BCS.

4.5 Collection of Information by Apple

Apple may monitor and collect information (including but not limited to technical and diagnostic information) about Your usage of BCS to aid Apple in improving BCS and other Apple Products; provided however, that Apple will not access or disclose the content of Your BCS Messages unless Apple has a good faith belief that such access or disclosure is reasonably necessary to (i) comply with legal process or request, such as may be required under court order; (ii) enforce the terms of these Service Terms, including investigation of any potential violation hereof; (iii) detect, prevent or otherwise address security, fraud or technical issues; or (iv) protect the legal rights or safety of Apple or the public as required or permitted by law.

4.6 Indemnity

Upon Apple's request, in addition to Your indemnification obligations in the Terms of Use, You agree to indemnify and hold harmless Apple, its affiliates, officers, employees and agents from any demands, losses, liability, damages, claims, suits, costs or expenses (including attorneys' fees and taxes) arising out of or related to (i) any data or security breaches stemming from Your BCS Applications or Your CSP not caused by Apple; or (ii) the content You send via BCS or that is sent on Your behalf via BCS.


4.7 Fees Charged by Apple

Apple reserves the right to charge fees for Your use of BCS. Apple will inform You of any Apple service fees or fee changes by email and information about such fees will be posted on the BCS web portal and/or Apple Business Register.

4.8 Marketing and Promotion. Apple may use graphics, assets and/or designs that depict Your public-facing implementation of BCS for promotion and/or marketing purposes.

Service Terms for the Indoor Service

The following Service Terms are in addition to the Terms of Use and apply to any use of the Indoor Service. In the event of a conflict between these Service Terms and the Terms of Use, these Service Terms shall control.

1. Definitions

In addition to the definitions found in the Terms of Use, the following definitions apply whenever capitalized in these Service Terms:

"Documentation" means any technical or other specifications or documentation that Apple may provide to You for use in connection with the Indoor Service.

"Guidelines" means the Indoor Service usage guidelines set forth herein and at and/or the other guidelines published at register.apple.com.

"Indoor Service" means the indoor mapping or location services and information or tools Apple may provide or make available to You under these Service Terms, including Updates (if any) that may be provided to You by Apple.

"Survey Work" means the performance of site surveys of authorized areas of Your Venue by Apple or third parties working with Apple using survey technology.

"Updates" means bug fixes, updates, upgrades, modifications, enhancements, supplements, and new releases or versions of any part of the Indoor Service.

"Your Venue" means the venue, facility, building, or business location owned, operated, and/or controlled by You.

"Your Venue Data" means any information about Your Venue or Your business that You submit to Apple as part of the Indoor Service, including, without limitation, maps, floor plans, imagery, documents, addresses, business contact information, business hours of operation, and geographic location(s).


2. Use of the Indoor Service

The Indoor Service may enable access to certain Apple Maps services and other Apple or third-party services. You are permitted to use the Indoor Service only as expressly permitted in the Terms of Use and these Service Terms, and in accordance with the Documentation, Guidelines, and all applicable laws and regulations. You understand and agree that You will not be permitted to access or use the Indoor Service after the expiration or termination of these Service Terms.


3. Content

3.1 Use of Your Venue Data

As part of the Indoor Service, You may upload or provide Your Venue Data to Apple. Do not upload or provide Your Venue Data unless You have the right to do so and are able to grant Apple the rights to use Your Venue Data as outlined herein. You grant Apple and its Affiliates a non-exclusive, irrevocable, paid-up, royalty-free, worldwide license (i) to use, reproduce, modify, display, and create derivative works of Your Venue Data (including but not limited to the right to compile Your Venue Data into a database that includes data from other sources) for use in or in conjunction with any Apple Products, including any marketing and promotional materials related thereto, and for use internally by Apple; and (ii) to distribute (directly or indirectly through a chain of distribution) Your Venue Data and/or Apple's derivative works thereof in or for use in conjunction with any Apple Products, any marketing and promotional materials related thereto, and for use internally by Apple. The foregoing rights include but are not limited to the right to enable third parties to access and use Your Venue Data through any Apple Products for use in conjunction with any third-party products, such as those of Apple's third-party developers. Apple may use Your Venue Data to conduct Survey Work and to create maps of and locations services within Your Venue, as well as share Your Venue Data with third parties working with Apple (e.g., to conduct Survey Work or otherwise assist Apple in mapping activities). Apple may collect the same or similar information contained in Your Venue Data from any of Your publicly available websites or applications in order to further the freshness and accuracy of the information presented in Apple Products, provided that Apple will not interfere with, harm, or degrade the quality or operations of any such websites or applications during such collections.

3.2 Ownership

Except for the licenses expressly set forth herein, You retain all of Your right, title, and interest in Your Venue Data. Subject to the license from You in Your Venue Data, Apple will retain all of its right, title, and interest in its modifications and additions thereto and derivative works thereof, including the results of the Survey Work, as well as any other Apple Products or data with which the Your Venue Data is combined (e.g., geo-databases compiled by Apple that include Your Venue Data). In no event is Apple under any obligation to use or distribute Your Venue Data. Apple will not redistribute or resell Your Venue Data by itself as a stand-alone product. Except as expressly set forth herein, no other licenses or rights are granted or to be implied.

3.3 Floor Plans; Sensitive Areas

Your Venue Data may include floor plans of Your Venue (including, without limitation, CAD files, GIS files, BIM files, Indoor Mapping Data Format (IMDF) files, JPGs, and PDFs). You must clearly mark non-public buildings (such as private residences or secured buildings), and/or sensitive areas within Your Venue (such as restricted access zones) in your floor plans. Do not upload or provide Venue Data for areas that are designated for national defense, government security, or similar sensitive purposes, or that contains illegal or inappropriate content. Apple will obtain Your permission before publishing floor plans of Your Venue in Apple Products.

3.4 Personal Data

You agree not share or collect any information relating to identified or identifiable individuals, or information that can be used to identify or re-identify individuals ("Personal Data") as part of the Indoor Service. You must immediately delete any Personal Data that is inadvertently obtained hereunder.


4. General

4.1 No Other Permitted Uses

Except as otherwise set forth in herein, You agree not to rent, lease, lend, upload to or host on any website or server, or sell, redistribute or sublicense the Indoor Service in whole or in part or to enable others to do so. You may not use the Indoor Service for any purpose not expressly permitted by these Service Terms, including, without limitation, creating or attempting to create a substitute or similar service through use of or access to the Indoor Service. You may not and You agree not to, or to enable others to, copy (except as expressly permitted under these Service Terms), decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, decrypt, or create derivative works of the Indoor Service, or any part thereof (except as and only to the extent any foregoing restriction is prohibited by applicable law or to the extent as may be permitted by licensing terms governing use of open-sourced components). Use of location-based APIs or services (e.g., Core Location, MapKit API) is governed by the Apple Developer Program License Agreement. You agree not to exploit the Indoor Service in any unauthorized way whatsoever including but not limited to by trespass, burdening network capacity, or by using the data provided by the Indoor Service for any unauthorized purpose. Any attempt to do so is a violation of the rights of Apple and its licensors of the Indoor Service. All licenses not expressly granted herein are reserved and no other licenses, immunity or rights, express or implied are granted by Apple, by implication, estoppel or otherwise. These Service Terms do not grant You any rights to use any trademarks, logos, or service marks belonging to Apple. The Indoor Service is not available in all countries and Apple makes no representation that it will be available for use in any particular location or that the Indoor Service will be available to all users of Apple Business Register. To the extent You choose to access and use the Indoor Service, You do so at Your own initiative and are responsible for compliance with all applicable laws and regulations.

4.3 Warranty

You agree and warrant that:

(a) You own or have the right to license Apple the right to use Your Venue Data for the purposes set forth herein; and

(b) in the case of the Survey Work, You have the authority to grant Apple access to Your Venue to conduct the Survey Work.

4.4 Indemnity

You agree to indemnify and hold harmless Apple, its affiliates, officers, employees and agents from any demands, losses, liability, damages, claims, suits, costs or expenses, including attorneys' fees and taxes, (individually, a "Claim", or collectively "Claims") arising out of or related to (i) breach of the warranties contained in these Service Terms, or (ii) Your use of the Indoor Service.

Service Terms for the Businesses on Maps Service

The following Service Terms are in addition to the Terms of Use and apply to any use of the Service. In the event of a conflict between these Service Terms and the Terms of Use, these Service Terms shall control.

THIS IS A LEGAL AGREEMENT BETWEEN YOU AND APPLE INC. ("APPLE") STATING THE TERMS THAT GOVERN YOUR USE OF THE APPLE MAPS BUSINESSES ON MAPS SERVICE (" Businesses on Maps "). PLEASE READ THESE TERMS OF USE ("AGREEMENT") BEFORE PRESSING THE "AGREE" BUTTON AND CHECKING THE BOX AT THE BOTTOM OF THIS PAGE. BY PRESSING "AGREE," YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, PRESS "DISAGREE" AND DO NOT USE THE BUSINESSES ON MAPS SERVICE .

BUSINESSES ON MAPS TERMS OF USE

1. Relationship With Apple; Apple ID and Password. You must be of the legal age of majority in the jurisdiction in which you reside (at least 18 years of age in many countries) and have the right and authority to enter into this Agreement on your own behalf. If you are entering into this Agreement on behalf of your company, organization, or government agency, you must have the right and authority to legally bind such entity or organization to the terms and obligations of this Agreement. An Apple ID is required to access Businesses on Maps and to set up your account. You are responsible for maintaining the confidentiality of your Apple ID and password and for any activity in connection with your Businesses on Maps account.

2. Use of the Businesses on Maps service; Changes and Availability. As a Businesses on Maps user, Apple may offer you access to certain services or information in relation to content associated with your business or venue ( "Services"). Such Services are only for use in connection with those businesses or entities that are associated with your Businesses on Maps account. You are solely responsible for all costs, expenses, taxes, and activities undertaken by you in connection with your use of the Businesses on Maps site and Services and any related efforts. Apple may change, suspend, limit, or discontinue your use of the Services at any time without notice or liability. The Businesses on Maps site may enable access to the Apple Maps service and other Apple or third party services and content. Use of such services may require an Apple ID and be subject to additional terms and conditions. The Services are not available in all languages or in all countries and Apple makes no representation that the Services are appropriate or available for use in any particular location. To the extent you choose to access Businesses on Maps service and use the Services, you do so at your own initiative and agree to use the site and Services only as permitted by this Agreement and any applicable law or regulation (including any local laws), as well as any additional policies or guidelines Apple may make available on the site.

3. Content You Submit to the Site. Your Businesses on Maps account allows you to submit maps and data related to your business or venue ("Content"). Unless you have entered into a separate written agreement with Apple, when you provide Content to Apple through the Services, you agree the Content may be used within products and services provided by Apple, its affiliates, partners, licensees and third party developers; in addition, you agree that Apple may share the Content and information provided through the Services with third parties working with Apple and may use your Content to market and promote the Services and/or Apple products and services that use the Content. You retain ownership in any intellectual property rights that you hold in the Content, and agree this Agreement grants Apple a royalty-free, unrestricted, worldwide, irrevocable, and non-exclusive license to use the Content. In no event is Apple under any obligation to use or distribute Content it receives pursuant to this Agreement.

You also agree and warrant that:

(a) you are the owner of the business or venue for which you are providing Content and/or have the legal authority and right to provide the Content to Apple; and

(b) all information and Content you provide to Apple will, to the best of your knowledge and belief, be current, true, accurate and complete and you will promptly notify Apple of any changes or updates.

4. Floor Plans. If the Content you provide includes any indoor floor plans (including CAD files, jpg's, PDFs, etc.) of your business or venue, Apple may use the floor plans to conduct site surveys and provide maps and location-based services for your venue within Apple products and services. Following an evaluation of any floor plans that you submit through the Services, Apple may contact you to discuss the possibility of a site survey to identify the existing condition of public areas and radio frequency signals within your venue. Apple may also share the floor plans with third parties to conduct any such site surveys or otherwise assist Apple in mapping your venue. If you and Apple have entered into a separate written agreement governing the use of your floor plans or performance of surveys, then the terms of that written agreement will govern in the event of a conflict with this Section 4.

5. Apple Materials. As part of the Services, Apple may from time to time supply you with certain Apple proprietary software, tools, data, and other materials to assist with Apple's use and processing of your Content ( "Materials"). You agree that any Materials that Apple provides to you as part of the Services are licensed to you hereunder and shall be used by you only in accordance with the terms and conditions of this Agreement and any separate license agreement that may accompany the Materials.

6. Restrictions . You agree not to exploit the Businesses on Maps service or any Services provided to you as a registered Businesses on Maps user in any unauthorized way, including but not limited to, by trespass, burdening network capacity, using the site or Service to transmit any computer viruses or other malware, or otherwise interfering with other users' enjoyment of the site or Services. You agree not to upload or provide floor plans on non-public buildings (such as private residences or secured buildings), floor plans of national defense or government security areas, images of people, illegal or inappropriate content or information, or content or information that is protected by intellectual property rights (such as copyright, trademark, etc.), unless you have the right to do so. Apple retains ownership of all of its right, title and interest in the Businesses on Maps service, Services and Materials and except for those use rights expressly granted in this Agreement, no other rights or licenses are granted or to be implied under any Apple intellectual property. Unless expressly permitted herein or otherwise permitted in a separate agreement with Apple, you may not reproduce, modify, perform, publish, translate, create derivative works of, rent, lease, loan, sublicense, transfer, sell, or redistribute access to or use of the Materials, site or Services, or any portion thereof, in any manner. You may not decompile, decrypt, reverse engineer, disassemble, or attempt to derive the source code of any software or security components of the Materials, Services or site (except as and only to the extent this restriction is prohibited by applicable law or by licensing terms governing the use of any FOSS components that may be included with the site or Services). Use of the Materials, site or Services in any manner to harass, abuse, stalk, threaten, defame or otherwise infringe or violate the rights of any other party, or to otherwise engage in any illegal activities, is expressly prohibited, and you agree that Apple is not in any way responsible for any such use by you. Apple reserves the right to terminate access or remove any content in violation of these restrictions.

7. No Warranty. YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND THAT YOUR USE OF THE SITE AND SERVICES ARE AT YOUR OWN DISCRETION AND SOLE RISK. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, APPLE AND ITS AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS (COLLECTIVELY, "APPLE" FOR PURPOSES OF THIS SECTION 7 AND 8) EXPRESSLY DISCLAIM ALL WARRANTIES CONDITIONS, REPRESENTATIONS AND TERMS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN PARTICULAR, APPLE MAKES NO WARRANTY THAT (I) THE SITE AND SERVICES WILL MEET YOUR REQUIREMENTS; (II) YOUR USE OF THE SITE AND SERVICES WILL BE TIMELY, UNINTERRUPTED, SECURE OR ERROR-FREE; (III) ANY INFORMATION OBTAINED BY YOU AS A RESULT OF THE SITE OR SERVICES WILL BE ACCURATE OR RELIABLE; AND (IV) ANY DEFECTS OR ERRORS IN THE SITE OR SERVICES WILL BE CORRECTED. IN ADDITION, APPLE DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO YOUR USE OF THE SITE OR SERVICES. YOUR SOLE REMEDY AGAINST APPLE FOR DISSATISFACTION WITH THE SITE OR SERVICES IS TO STOP USING THE SITE OR SERVICES. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.

8. Limitation of Liability. TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT WILL APPLE BE LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, CONSEQUENTIAL, PUNITIVE, SPECIAL, OR INDIRECT DAMAGES OR FOR LOST PROFITS OR ANTICIPATED PROFITS, LOST INCOME OR REVENUE, LOSS OF USE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, COST OF SUBSTITUTE GOODS, OR BUSINESS INTERRUPTION, WHETHER OR NOT APPLE WAS AWARE OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF THESE DAMAGES. In no event shall Apple's total liability to you under this Agreement for all damages (other than as may be required by applicable law in cases involving personal injury) whether arising in contract, tort (including negligence) or otherwise, exceed the amount of fifty dollars ($50.00).

9. Indemnity. Upon Apple's request, you agree to indemnify and hold harmless Apple, its affiliates, officers, employees and agents from any demands, losses, liability, damages, claims, suits, costs or expenses (including attorneys' fees and taxes) arising out of or related to your violation of the terms of this Agreement, or your use of the Businesses on Maps service or Services.

10. Communications. Apple may contact and/or send communications to you from time to time in conjunction with your use of the Services. Such communications may be in the form of phone calls and/or emails and may include, but not be limited to, service announcements, account verification services, marketing materials, and updates or changes regarding your Businesses on Maps account or the Services. You agree that Apple may share your Businesses on Maps account information (such as phone number and mailing address you provided in your Businesses on Maps sign up) with third parties working with Apple in connection with the Services (e.g., business verification services).

11. Amendment. Apple reserves the right, at its discretion, to modify this Agreement at any time, including any rules and policies that govern your use of the Services. Any such new or modified terms will not apply to any Content submitted to the Service prior to any such modification of terms. In the event that Apple modifies this Agreement, in order to continue using the Services or the site, you will be required to accept and agree to such new terms. If you do not agree to the new terms, your use of the Services and/or site may be suspended or terminated by Apple. You agree that your acceptance of such new terms may be signified electronically, including without limitation, by your checking a box or clicking on an "Agree" or similar button.

12. Termination. You may choose to terminate your account and/or cease using the Services at any time and for any reason. Apple may terminate or suspend your account at any time in Apple's sole discretion. Upon any termination of your account, all rights and licenses granted to you by Apple will cease, including your right to access and use the Businesses on Maps service and Services. For the sake of clarity, the licenses granted in the Content pursuant to Section 3 above, will survive any termination of this Agreement, and Apple, its affiliates, partners, licensees and third party developers, will have the right to continue to use any Content that has been received from you prior to the date of such termination under the terms set forth in this Agreement.

13. Proprietary Rights. You acknowledge and agree that the Businesses on Maps service and Services contain proprietary content, information and material that is owned or licensed by Apple and/or its licensors and suppliers, and is protected by applicable intellectual property and other laws, including, but not limited to, copyright, patent, trademark, and trade secret, and that you will not use such proprietary content, information or materials in any way whatsoever that is inconsistent with this Agreement or that infringes any intellectual property rights of Apple or any third party. No portion of the Businesses on Maps service or Services, including any content therein, may be reproduced in whole or in part without Apple's permission, and you may be held liable for any such unauthorized copying or disclosure. Apple, the Apple logo and other Apple trademarks, service marks, graphics and logos used in connection with the Businesses on Maps service and Services are trademarks or registered trademarks of Apple Inc. in the US and/or other countries. Other trademarks or logos used in connection with the Businesses on Maps service or Services may be the trademarks of their respective owners. You are not granted any right or license in any of the foregoing trademarks, and further agree that you shall not remove, obscure or alter any proprietary notices (including trademark and copyright notices) that may be contained within the Businesses on Maps service or the Services.

14. Privacy. At all times any personal information collected hereunder will be treated in accordance with Apple's Privacy Policy which can be viewed at: http://www.apple.com/legal/privacy/ .

15. Export Control. Use of the Services and Materials may be subject to the export and import laws of the United States and other countries. You agree to comply with all applicable export and import laws and regulations. In particular, but without limitation, the Materials may not be exported or re-exported (a) into any U.S. embargoed countries or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person's List or Entity List. By using the Services or Materials, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use the Services or Materials for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture or production of missiles, nuclear, chemical or biological weapons.

16. Governing Law; Dispute Resolution. This Agreement will be governed by and construed in accordance with the laws of the United States and the State of California, except that body of California law concerning conflicts of law. ANY LITIGATION OR OTHER DISPUTE RESOLUTION BETWEEN YOU AND APPLE ARISING OUT OF OR RELATING TO THIS AGREEMENT, YOUR USE OF BUSINESSES ON MAPS OR THE SERVICES, WILL TAKE PLACE IN THE NORTHERN DISTRICT OF CALIFORNIA, AND YOU AND APPLE HEREBY CONSENT TO THE PERSONAL JURISDICTION OF AND EXCLUSIVE VENUE IN THE STATE AND FEDERAL COURTS WITHIN THAT DISTRICT WITH RESPECT TO ANY SUCH LITIGATION OR DISPUTE RESOLUTION.

17. Government End Users. Certain components of the Businesses on Maps service or Services may be considered "Commercial Items", as that term is defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation", as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions herein. 18. Miscellaneous. You understand and agree that by becoming a Businesses on Maps user, no legal partnership or agency relationship is created between you and Apple. Neither you nor Apple is a partner, an agent or has any authority to bind the other, and you agree not to represent otherwise. If for any reason a court of competent jurisdiction finds any provision of this Agreement to be unenforceable, the remainder of this Agreement shall continue in full force and effect. Failure by Apple to enforce any provision of this Agreement shall not be deemed a waiver of future enforcement of that or any other provision. Any notices relating to this Agreement shall be in writing. Notices will be deemed given by Apple when sent to you at the email address or mailing address you provided as part of your Businesses on Maps sign-up process. All notices to Apple relating to this Agreement will be deemed given (a) when delivered personally, (b) three business days after having been sent by commercial overnight carrier with written proof of delivery, and (c) five business days after having been sent by first class or certified mail, postage prepaid, to this Apple address: Apple Inc., One Apple Park Way, Cupertino, CA 95014, U.S.A, Attention: Internet Services Legal. You consent to receive notices by email and agree that any such notices that Apple sends you electronically will satisfy any legal communication requirements. This Agreement constitutes the entire agreement between the parties with respect to the use of the Businesses on Maps service and Services, and supersedes all prior understandings and agreements regarding its subject matter. Any translation of this Agreement is done for local requirements and in the event of a dispute between the English and any non-English version, the English version of this Agreement shall govern. If you are located in the province of Quebec, Canada, then the following clause applies to you: The parties hereby confirm that they have requested that this Agreement and all related documents be drafted in English.
